What is an offshore company?

An offshore company is a legal entity that is registered in one country but does business outside it. In the UAE, a registry such as Ajman Free Zone (AFZ) keeps the company record. However, the company cannot trade inside the UAE, rent an office or sponsor residence visas. Instead, it works as a vehicle for international activity and for holding assets.

Mainland, free zone or offshore: the differences

The UAE has three ways to set up a company. This table shows the main differences, so you can see where offshore fits.

Benefits of UAE offshore company formation

An offshore company is not for every business. But for holding and international activity, it offers clear advantages.

100% foreign ownership

You own the company fully, with limited liability for the shareholders.

No office, low running costs

You only need a registered agent, so yearly costs stay low.

Fast setup

Registration often takes only a few working days once your documents are ready.

Holding and asset protection

Hold shares, intellectual property or investments in one separate entity.

International banking

Open accounts in the UAE or abroad, subject to each bank’s checks.

Privacy

Shareholder details are not in a public register. The registry and banks still know the owners.

AFZ Offshore/IBC companies

Ajman Free Zone (AFZ) is one of the most cost-effective offshore registries in the UAE. Its offshore company is also called an International Business Company (IBC). AFZ has a modern legal framework, and it is popular with entrepreneurs who want flexibility and global reach. We are a registered partner for the AFZ Offshore/IBC solution, so we handle your file directly.

  • Fast setup, often within 2–5 working days
  • No UAE residence visa needed for the owners
  • 100% foreign ownership with limited liability
  • Suitable for holding shares, intellectual property and investments
  • International trade outside the UAE

Do you need visas or an office later? Then an Ajman Free Zone company may suit you better.

RAK ICC and JAFZA Offshore companies

Besides AFZ, the UAE has two other registries for offshore companies: RAK ICC in Ras Al Khaimah and JAFZA Offshore in Dubai. We do not register these companies ourselves. Instead, we arrange them through our trusted partner network, and we coordinate the process for you.

RAK ICC

The Ras Al Khaimah International Corporate Centre is a well-known registry for holding companies and international structures.

JAFZA Offshore

The offshore registry of Jebel Ali Free Zone in Dubai. It suits groups that want a Dubai-based registry for their structure.

Not sure which registry fits you best? We compare AFZ, RAK ICC and JAFZA Offshore on cost, timing and the purpose of your company, and then we advise you.

Tax and compliance for offshore companies

Offshore does not mean outside the rules. Since the UAE introduced corporate tax in 2023, a UAE offshore company must also register with the Federal Tax Authority. The tax then depends on the income. For example, dividends and gains from qualifying shareholdings can be exempt, which helps holding companies. Other profits above AED 375,000 are taxed at 9%. In addition, the company must keep proper records and report its beneficial owners. That is why tax planning is part of every UAE offshore company formation we do, and we can handle the corporate tax registration for you.

Frequently asked questions

Can an offshore company do business in the UAE?
No. A UAE offshore company can only do business outside the UAE. For local trade, you need a mainland or free zone company. However, an offshore company can own shares in those companies.
Do I get a UAE residence visa with an offshore company?
No. An offshore company cannot sponsor visas, because it has no office in the UAE. If you need a visa, a free zone company is usually the simplest choice.
Does an offshore company pay corporate tax?
It must register for corporate tax, and the result depends on its income. Some holding income can be exempt, while other profits above AED 375,000 are taxed at 9%. We check this for your structure before you start.
Can an offshore company own property in the UAE?
In some cases, yes. Offshore companies from approved registries can own property in designated areas, for example in parts of Dubai. The rules depend on the registry and the emirate, so we confirm them first.
How long does UAE offshore company formation take?
Registration often takes a few working days once your documents are complete. The bank account usually takes longer. You can find more background on the official UAE government portal.
